Terms of Service
These Terms of Service ("Terms") govern your access to and use of Sefia (the "Service") operated by Sefia ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
1. The Service
Sefia provides an AI-powered assistant that, on your behalf, may answer phone calls, send and receive text messages, schedule appointments on connected calendars, and perform related tasks based on the configuration you supply. The Service evolves; we may add, change, or remove features over time.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.
3. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, harassing, or deceptive purposes.
- Use the Service to place or facilitate unsolicited calls or messages (spam) in violation of the TCPA, CAN-SPAM, GDPR, or any other applicable law.
- Misrepresent that Sefia is a human or attempt to deceive callers about the nature of the assistant where disclosure is required by law.
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service, related systems, or other users' data.
- Reverse engineer, decompile, or extract underlying models, prompts, or source code from the Service except to the extent permitted by law.
- Use the Service to handle sensitive regulated information (e.g., PHI under HIPAA, payment card data) unless we have entered into a separate written agreement covering that use.
4. Your content and instructions
You retain ownership of the business information, recordings, transcripts, messages, and other content you submit or that Sefia generates on your behalf ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use Customer Content solely as needed to provide, secure, and improve the Service for you, and to comply with law.
You are solely responsible for Customer Content and the instructions you give Sefia, including ensuring you have the rights and consents required to collect, share, and process information about callers and recipients.
5. Telephony, recording, and consent
You are responsible for complying with applicable telecommunications and recording laws in your jurisdiction, including obtaining any required consents from callers. We provide tooling (such as opening disclosures) to help, but compliance is ultimately your obligation. You will defend, indemnify, and hold us harmless against claims arising from your failure to comply with these laws.
6. Third-party services
The Service integrates with third-party services such as calendar providers, telephony carriers, and messaging platforms. Your use of those services is governed by their own terms and policies. We are not responsible for third-party services and disclaim liability for their availability, accuracy, or actions.
7. Fees and payment
Paid plans are billed in advance on a recurring basis (e.g., monthly or annually) unless otherwise agreed. Usage-based fees (such as per-minute call charges) are billed in arrears. All fees are non-refundable except as expressly stated or required by law. You authorize us to charge your payment method for all fees due. If a payment fails, we may suspend or terminate your access until the balance is resolved.
8. Beta features
We may offer features identified as "beta," "preview," or similar. Beta features are provided "as is," may change or be discontinued, and are not subject to any service level commitments. Feedback you provide may be used by us without restriction.
9. Suspension and termination
You may stop using the Service and cancel your account at any time from your dashboard. We may suspend or terminate your access if you breach these Terms, if your use poses a security or legal risk, or if required by law. On termination, your right to use the Service ends and we may delete Customer Content after a reasonable retention period.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. AI OUTPUTS MAY BE INCORRECT OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING OUTPUTS BEFORE RELYING ON THEM.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SEFIA OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.
12. Indemnification
You agree to defend, indemnify, and hold Sefia and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Service, (b) Customer Content, (c) your violation of these Terms, or (d) your violation of any law or rights of a third party.
13. Changes to the Service or Terms
We may modify the Service or these Terms at any time. If we make a material change to these Terms, we will provide reasonable notice (for example, via email or in-app) before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.
15. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Sefia regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
